1. Acceptance of Terms
These Terms of Use are an agreement between you and Watkyn LLC (“Watkyn,” “we,” “us,” or “our”) governing your access to and use of the website located at www.watkyn.com (the “Website”). By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and by our Privacy Policy, which is incorporated into these Terms by reference, and you agree to comply with all applicable laws and regulations, including U.S. export and re-export control laws. If you do not agree to these Terms, please do not use the Website.
2. Changes to These Terms and the Website
Watkyn may revise these Terms of Use and any other information contained on the Website at any time without notice, by updating this posting. Your continued use of the Website after changes are posted constitutes your acceptance of the revised Terms. Watkyn may also improve, change, or discontinue any of the services, programs, or content described on the Website at any time without notice.

Watkyn grants you a non-exclusive, non-transferable, limited permission to access and display the pages of the Website for your personal, internal business, evaluation, procurement, or informational use, provided you comply with these Terms of Use and keep intact all copyright, trademark, and other proprietary notices. This permission is non-commercial: you may not sell, republish, or redistribute the content you access on or through the Website. All other use of the Website is prohibited.

The Website and its contents, including text, graphics, logos, page designs, and software, are owned by Watkyn LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not mirror, frame, or reproduce any content from the Website on another website or in any other medium without Watkyn’s prior written consent.
5. Trademarks
Watkyn®, the Watkyn logo®, and ContactPath® are registered trademarks of Watkyn LLC. Other product and company names mentioned on the Website, including Quickbase, Caspio, and Acumatica, may be trademarks of their respective owners; their appearance does not imply endorsement of Watkyn by those owners except where a partnership is expressly stated.
6. Acceptable Conduct
You agree not to:
- Use the Website for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to the Website, its servers, or any systems or networks connected to it, or interfere with or disrupt their operation;
- Introduce viruses, malware, or other harmful code to the Website;
- Use any automated means to access the Website except as permitted by the Website’s robots.txt protocol, which Watkyn may modify at its discretion, and Watkyn may block any automated access in its sole discretion;
- Scrape, harvest, or systematically extract content or data from the Website, including for the purpose of training machine-learning or artificial-intelligence systems, without Watkyn’s prior written consent; or
- Impersonate Watkyn or any of its personnel, or misrepresent your affiliation with any person or entity.
7. Submissions Through the Website
If you send Watkyn unsolicited ideas, suggestions, or feedback through the Website, you grant Watkyn a non-exclusive, royalty-free, perpetual license to use them for any lawful business purpose, and such submissions will not be treated as confidential.
This section does not apply to (a) personal information you provide through the Website, which is handled in accordance with our Privacy Policy, or (b) information or materials you provide in connection with an actual or prospective client engagement, including through our secure file transfer service, which are governed by the confidentiality terms of the applicable agreement between you and Watkyn or, where no agreement is yet in place, handled as confidential prospective-client information.
8. Client Engagements
The Website describes services Watkyn offers to clients. Descriptions of services on the Website are informational and do not constitute an offer. Watkyn’s services are provided only under a signed agreement, such as Watkyn’s Professional Services Agreement or a client-supplied contract, and in the event of any conflict between these Terms of Use and a signed agreement, the signed agreement governs the engagement.
9. Third-Party Websites and Links
The Website may contain links to websites operated by third parties. These links are provided for your convenience only. Watkyn does not control and is not responsible for the content, availability, or privacy practices of third-party websites, and a link does not imply Watkyn’s endorsement. If you choose to link to the Website, you must do so in a way that is fair and lawful, does not damage or take advantage of Watkyn’s reputation, and does not suggest an association or endorsement where none exists; Watkyn may withdraw linking permission at any time.
10. Disclaimer of Warranties
The website and its content are provided “as is” and “as available” without warranty of any kind, either express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Watkyn does not warrant that the website will be uninterrupted, error-free, or free of harmful components, or that its content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Watkyn will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of or inability to use the website, even if Watkyn has been advised of the possibility of such damages. To the fullest extent permitted by applicable law, Watkyn’s total aggregate liability arising out of or relating to your use of the website will not exceed one hundred U.S. dollars (US $100). Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law. For clarity, this section applies to use of the website only; liability in connection with client engagements is governed by the applicable signed agreement.
12. Indemnification
You agree to indemnify and hold harmless Watkyn LLC and its officers, employees, and contractors from any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms of Use or your misuse of the Website.
13. Governing Law
To the fullest extent permitted by applicable law, these Terms of Use are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, and any dispute arising out of or relating to these Terms or the Website will be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida. Nothing in this section deprives you of mandatory consumer protections available under the laws of your place of residence.
14. General
If any provision of these Terms of Use is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Watkyn’s failure to enforce any provision is not a waiver of its right to do so later. These Terms of Use, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Watkyn regarding use of the Website.
